This is an experimental addition to our Shop Talk events. Bob Garratt will outline his thinking, research and motivation leading to his new book Stop The Rot: Reframing Governance For Directors and Politicians. This will be an interactive session led by Bob with a final focus on the future of The Professions, especially Management Consultancy.
25 years after the publication of the seminal Cadbury Report on the Financial Aspects of Corporate Governance 1992 globally corporate governance (CG) is stuck in a web of regulatory compliance. This is the opposite of Sir Adrian’s intention for CG to focus on ‘ensuring the success of the business’. It still is obsessed with Listed Companies and Finance and so avoids over 95% of our national organisations which comprise private companies, state owned enterprises and agencies, not-for-profits, partnerships and co-operatives. Bob argues that these are the areas where effective CG can do most good but are excluded. He reframes CG to include such organisations internationally.
He argues that some 95% of current CG regulations can be dropped if the national focus is only on the primary law – the Seven General Duties of a Director. He goes further and argues that to break out of its fixation only with Directors CG’s perspective needs widening to include Owners, Regulators and Legislators. This is new ground in CG. He sets the growing public demand for better governance generally , especially since Brexit and Trump, as part of four parallel global trends:
- The estrangement of the public from its governors
- The rise of a global Middle Class
- The growing public demand for the values of Professionalism in their leaders.
- The growing public realisation of the importance of a systematic approach to continuous learning to improve our organisations.
He argues that the combination and integration of these trends will have a major effect on the future of The Professions - especially Accountancy, Audit, the Law, Company Secretarial, Human Resources - and Management Consulting.
He pulls these strands together and proposes a new national system of effective CG built on the continuous public oversight and competence assessment of Directors, Owners, Regulators, and Politicians.
